This is a contract. By installing this software or using all or any portion of the software, you accept all the terms and conditions of this agreement.

This i-fax.com Inc. (i-fax.com) End User License Agreement applies to the i-fax.com plug-in, the i-fax.com font, the i-fax.com tools ("Software") related explanatory written materials or files ("Documentation) and any upgrades, modified versions, or updates of the Software licensed to you by i-fax.com. Please read the terms and conditions of this Agreement carefully.

By selecting the "Accept" button at the bottom of this page you agree to the terms and conditions of this Agreement. If you are not willing to be bound by its terms, select the "Do Not Accept" button at the bottom of this page and the download will not continue. If you acquired the Software without an opportunity to review this license and you do not accept this agreement, you are not authorized to use the software.

1. LICENSE: i-fax.com grants you a non-exclusive license to use the software. i-fax.com retains title to the software. The software and any copies, which this License authorizes you to make, are subject to this License.
    
2. AUTHORIZED USE AND RESTRICTIONS: This License allows you to install the Software on a hard disk or other storage device; install and use the Software on a file server; and make backup copies of the Software. You may not (a) remove any product identification, copyright notices or other notices or proprietary restrictions from the software (b) use the software for commercial timesharing, rental, or service bureau use (c) transfer, sell, assign or convey the software to another party without i-fax.com 's prior written consent; (d) cause or permit reverse engineering, disassembly, or decompilation of the software, except to the extent required for interoperability. The software is licensed to be used with i-fax.com 's service. Any other use is strictly prohibited.
    
3. FONT SOFTWARE: If the Software includes font software:
    
4. 1. You may use the font software, as described above and output such font software on any output devices connected to such computers, storage devices or file servers.
       
   2. You may download the font software to the memory (hard disk or RAM) of output devices connected to such computers, storage devices or file servers, for the purpose of having such font software remain resident in the output devices.
       
   3. You may convert and install the font software into another format for use in other environments subject to the following conditions: use of the font software you have converted shall be pursuant to the terms and conditions of this Agreement. Such converted font software may be used only for your own internal business use and may not be distributed or transferred for any purpose except in accordance with the terms of this Agreement.
       
   4. You may take a copy of the font(s) you have used for a particular file to a commercial printer or other service bureau and such service bureau may use the font(s) to process your file, provided such service bureau follows the terms of this license agreement.
       
   5. You may embed the font software, or outlines of the font software, into your electronic documents.
       
5. COPYRIGHT AND TRADEMARK RIGHTS: The software, and any copies you are authorized to make, is owned by i-fax.com . Its structure, organization and code are the valuable trade secrets of i-fax.com . The software is protected by copyright, patent and other intellectual property laws. You acquire only the right to use the software. You do not acquire any rights, express or implied, in the software other than those specified in this license. i-fax.com shall at all times retain all rights, title and interest, including intellectual property rights, in the software. You may use trademarks only insofar as required to comply with section 2 of this Agreement. When using the trademark you must identify the trademark owner's name. Use of the trademark does not give you any rights of ownership in that trademark.

DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY: THE SOFTWARE IS BEING PROVIDED "AS IS" AND i-fax.com MAKES NO WARRANTY AS TO ITS USE OR PERFORMANCE. i-fax.com CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE OR DOCUMENTATION. i-fax.com MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO NONINFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR USE. IN NO EVENT WILL i-fax.com BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA OR DATA USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, EVEN IF i-fax.com HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. i-fax.com 'S LIABILITY TO CUSTOMERS OR THIRD PARTIES IS LIMITED TO $50. Some jurisdictions do not allow the exclusion of implied warranties; however the exclusions of i-fax.com shall apply to the fullest extent permitted by applicable law.
    
7. TERMINATION: You may terminate this license at any time by destroying all copies of the Software. i-fax.com shall have the right, at its discretion, to terminate your right to use the Software at any time if you fail to comply with any of the terms or conditions of this License Agreement. Upon such termination, you must destroy all copies of the Software. The Disclaimer of Warranty and Limitation of Liability survive the termination of this Agreement.
    
8. TECHNICAL SUPPORT: i-fax.com Inc. provides on-line technical support for installation of the Software. i-fax.com is not obligated to provide this support and reserves the right to cease providing support at its sole discretion.
    
9. GOVERNING LAW AND GENERAL PROVISIONS: This Agreement will be governed by the laws of the State of Delaware, USA. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions of this Agreement will remain in full force. You agree that the Software will not be shipped, transferred or exported into any country or used in any manner except as authorized by United States law and the laws of the jurisdiction in which the Software was obtained. This License constitutes the entire Agreement between the parties with respect to the use of the Software and supercedes all prior or contemporaneous understandings. This Agreement may only be modified in writing, signed by an authorized officer of i-fax.com .
